Vendor Agreement
This Vendor Agreement (the “Agreement”) is made and entered into by and between [CoranationMarket.com], (the “Marketplace”), and [Vendor], (the “Vendor”).

• Grant of Access:
  1.1 Marketplace grants Vendor a non-exclusive, revocable license to use the Marketplace’s online platform to list and sell products and services (the “Services”).
  1.2 Vendor shall be responsible for all content, products, and services listed on their storefront.
• Vendor’s Obligations:
  2.1 Vendor shall comply with all applicable laws, rules, and regulations, including but not limited to consumer protection laws, tax laws, and shipping regulations.
  2.2 Vendor shall be solely responsible for:
• Processing orders and payments.
• Shipping products to customers.
• Handling customer inquiries and complaints.
• Resolving disputes with customers.
  2.3 Vendor shall maintain appropriate insurance coverage to protect against liability arising from its use of the Marketplace and the sale of its products and services.
• Marketplace’s Obligations:
  3.1 Marketplace shall provide Vendor with access to its online platform and related services.
  3.2 Marketplace shall use commercially reasonable efforts to maintain the security and availability of its platform.
• Intellectual Property:
  4.1 Each party retains all rights, title, and interest in its respective intellectual property.
  4.2 Vendor grants Marketplace a non-exclusive, worldwide, royalty-free license to use Vendor’s trademarks and logos in connection with the Marketplace’s marketing and promotional activities.
• Term and Termination:
  5.1 This Agreement shall commence on the Effective Date and shall continue until terminated by either party upon [Number] days’ written notice to the other party.
  5.2 Marketplace may terminate this Agreement immediately upon written notice if Vendor breaches any material term of this Agreement.
• Indemnification:
  6.1 Vendor shall indemnify and hold harmless Marketplace from and against any and all claims, damages, losses, liabilities, costs, and expenses arising out of or in connection with Vendor’s use of the Marketplace or the sale of its products and services.
• Disclaimer of Warranties:
  7.1 Marketplace makes no warranties, express or implied, regarding the Marketplace or the Services.
• Entire Agreement:
  8.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
• Governing Law:
  9.1 This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada.
